1. Introduction and acceptance
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Parkho Technologies Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN U62011UP2026PTC251459, with its registered office at Gomti Nagar, Lucknow, Uttar Pradesh, India (“Parkho”, “we”, “us”, or “our”), and any person or entity that accesses or uses the Parkho platform, including its website at tryparkho.com and any associated applications (collectively, the “Platform”).
By creating an account, accessing, or using the Platform in any capacity — whether as a Company or as a Recruiter (each as defined below) — you (“User”, “you”, or “your”) agree to be bound by these Terms. If you are agreeing on behalf of an organisation, you represent that you have the authority to bind that organisation, and “you” shall refer to that organisation.
PLEASE READ THESE TERMS CAREFULLY, INCLUDING SECTION 15 (EARLY ACCESS / BETA DISCLAIMER) AND SECTION 19 (DISPUTE RESOLUTION AND ARBITRATION). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.
2. Definitions
- “Platform”
- means the Parkho website, software, AI agent layer, and related services that connect Companies with Recruiters to facilitate hiring.
- “Company”
- means any User that registers on the Platform to post job roles and engage Recruiters and/or the Platform’s AI agent layer to source and screen candidates.
- “Recruiter”
- means any individual recruiter, recruiting agency, or talent sourcing partner that registers on the Platform to source, screen, and submit Candidates against roles posted by Companies.
- “Candidate”
- means an individual whose profile, resume, or application is submitted, sourced, or processed through the Platform for consideration against a Role.
- “Role”
- means a job opening or hiring mandate posted by a Company on the Platform.
- “Placement”
- means the acceptance and commencement of employment (or engagement, as applicable) by a Candidate with a Company, where that Candidate was sourced, submitted, screened, or otherwise introduced through the Platform.
- “Success Fee”
- means the fee payable by a Company to Parkho upon a Placement, calculated as set out in Section 8.
- “AI Agent Layer”
- means the automated systems on the Platform that perform resume screening, candidate qualification, scheduling, templated communications, offer benchmarking, feedback synthesis, and related administrative tasks.
3. Eligibility
You must be at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872, to use the Platform. By using the Platform, you represent and warrant that all registration information you submit is accurate, current, and complete, and that you will maintain the accuracy of such information.
Parkho reserves the right to refuse registration to, or suspend, any User at its discretion, including where we reasonably suspect misuse of the Platform, fraudulent activity, or a breach of these Terms.
4. Description of the Platform
Parkho is an agentic hiring platform that combines an AI Agent Layer with human recruiting expertise. The AI Agent Layer handles administrative and repetitive tasks — including resume screening, candidate qualification, interview scheduling, templated communications, background check coordination, offer benchmarking, interviewer feedback synthesis, pipeline tracking, reference collection, and onboarding documentation — while Recruiters and Company hiring teams retain responsibility for judgment-based decisions, including candidate calibration, nuanced assessment, closing, negotiation, and final hiring decisions.
Parkho is a technology and marketplace provider. Parkho is not a party to, and does not guarantee the outcome of, any employment relationship, offer, or engagement between a Company and a Candidate. Nothing on the Platform constitutes an offer or guarantee of employment.
5. Terms applicable to Companies
5.1 Posting Roles
Companies may post Roles on the Platform, providing accurate and complete information regarding the position, compensation range, and requirements. Parkho reserves the right to reject, edit, or remove any Role listing that violates applicable law, is discriminatory, or otherwise breaches these Terms.
5.2 Engaging Recruiters and the AI Agent Layer
Companies may engage Recruiters through the Platform to source and submit Candidates, and may use the AI Agent Layer for screening, scheduling, and related administrative functions. Companies remain solely responsible for all final hiring decisions, employment terms, statutory compliance (including equal opportunity and labour law compliance), and the conduct of interviews conducted outside the Platform.
5.3 Non-discrimination
Companies agree not to post Roles or make hiring decisions through the Platform that discriminate on any ground prohibited under applicable Indian law.
6. Terms applicable to Recruiters
6.1 Sourcing and submission
Recruiters may access Roles posted by Companies and submit Candidates through the Platform. Recruiters represent that they have a lawful basis to source, hold, and share each Candidate’s information, and that each Candidate has consented to their profile being submitted for consideration.
6.2 Independent contractor status
Recruiters engage with Companies through the Platform as independent parties. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Parkho and any Recruiter, or between a Recruiter and a Company.
6.3 Accuracy of submissions
Recruiters are responsible for the accuracy of Candidate information submitted through the Platform, including resumes, qualifications, and screening notes, to the extent such information is provided by the Recruiter rather than generated by the AI Agent Layer.
7. Non-circumvention
Where a Candidate is introduced to a Company through the Platform (whether by a Recruiter or by the AI Agent Layer), the Company and Recruiter each agree not to bypass the Platform to complete a Placement outside these Terms — including by engaging that Candidate directly, through a third party, or for a different role — for a period of twelve (12) months from the date of introduction, without Parkho’s written consent or payment of the applicable Success Fee. Any Placement of an introduced Candidate within this period, by any means, will be treated as a Placement under Section 8 and will attract the Success Fee.
8. Fees and payment
8.1 Success Fee
Companies agree to pay Parkho a Success Fee calculated as a percentage of the Candidate’s annual guaranteed cash compensation (base salary plus any guaranteed allowances, excluding variable bonus and equity unless otherwise agreed in writing) for each Placement. The applicable percentage will be confirmed in writing (including by email or on-Platform agreement) at the time a Role is engaged, and forms part of these Terms once confirmed.
8.2 Invoicing and payment terms
Parkho will issue an invoice upon the Candidate’s confirmed acceptance of an offer, or upon commencement of employment, as agreed with the Company in advance. Invoices are payable within thirty (30) days of the invoice date, unless otherwise agreed in writing. Late payments may accrue interest at 18% per annum or the maximum permitted under applicable law, whichever is lower.
8.3 No fees to Recruiters or Candidates for basic use
Parkho does not charge Candidates for use of the Platform. Fee arrangements between Parkho and Recruiters (such as revenue share on Success Fees) will be set out separately in a Recruiter agreement or on-Platform terms specific to that Recruiter.
9. Replacement guarantee
If a Candidate placed through the Platform resigns, is terminated for cause, or is terminated for underperformance within ninety (90) days of their start date, Parkho will source and submit a replacement Candidate for the same Role at no additional Success Fee, provided that:
- The Company notifies Parkho in writing within seven (7) days of the Candidate’s departure, stating the reason;
- The Role requirements remain substantially unchanged;
- The original Success Fee has been paid in full; and
- The departure was not caused by a material misrepresentation of the Role, compensation, or working conditions by the Company.
This replacement guarantee is the Company’s sole and exclusive remedy for a Candidate’s early departure, and no cash refund will be issued except at Parkho’s sole discretion.
10. Confidentiality
Each User agrees to keep confidential any non-public information disclosed by another User or by Parkho in connection with the Platform — including Role details, compensation bands, Candidate information, and business terms — and to use such information solely for purposes of evaluating or completing a Placement through the Platform. This obligation survives termination of a User’s account for a period of two (2) years.
11. Intellectual property
The Platform, including its software, AI Agent Layer, design, trademarks (including the “Parkho” name and logo), and all underlying technology, is the property of Parkho and its licensors and is protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended hiring purposes. No User may copy, reverse-engineer, resell, or create derivative works from the Platform without Parkho’s prior written consent.
Companies and Recruiters retain ownership of the content they submit (Role descriptions, Candidate data they source, etc.), and grant Parkho a licence to process such content as necessary to operate the Platform and provide the Services.
12. Data protection and privacy
Parkho processes personal data of Users and Candidates in accordance with its Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023. Companies and Recruiters are responsible for ensuring that any Candidate information they upload or share through the Platform has been collected with appropriate consent and can lawfully be processed by Parkho and shared with the relevant Company for hiring purposes.
13. AI Agent Layer — nature and limitations
The AI Agent Layer assists with screening, qualification, scheduling, and related administrative tasks using automated and AI-based processing. Outputs of the AI Agent Layer (including screening scores, qualification recommendations, and offer benchmarks) are provided as decision-support only and do not constitute a guarantee of a Candidate’s suitability, qualifications, or fit for a Role. Companies and Recruiters remain solely responsible for independently verifying Candidate information and for all final hiring decisions.
14. Prohibited conduct
Users agree not to:
- Submit false, misleading, or fraudulent information about a Role, Company, or Candidate;
- Use the Platform to discriminate unlawfully in hiring;
- Circumvent the Platform to avoid payment of applicable fees, in breach of Section 7;
- Scrape, reverse-engineer, or attempt to extract the Platform’s underlying data or models;
- Use the Platform to harass, defame, or unlawfully contact any other User or Candidate;
- Upload malicious code or attempt to breach the Platform’s security.
15. Early access / beta disclaimer
The Platform is currently offered in early access / beta form to a limited group of pilot Users. Users acknowledge and agree that:
- Features, workflows, pricing, and the AI Agent Layer are under active development and may change, be added, or be removed without prior notice;
- The Platform may contain bugs, errors, or interruptions, and is provided without warranty of uninterrupted or error-free operation;
- Parkho may request feedback from pilot Users and may use aggregated, anonymised feedback and usage data to improve the Platform;
- Parkho may, at its discretion, offer pilot-specific pricing or terms that supersede standard pricing referenced in Section 8, as confirmed in writing to the relevant Company.
16. Disclaimers and limitation of liability
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
To the maximum extent permitted by applicable law, Parkho shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, or goodwill, arising out of or in connection with the use of the Platform, any Placement, or any Candidate. Parkho’s aggregate liability to any User for any claim arising out of or relating to these Terms shall not exceed the total Success Fees paid by that User to Parkho in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
17. Indemnification
Each User agrees to indemnify and hold harmless Parkho, its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of that User’s breach of these Terms, violation of applicable law, or misuse of the Platform.
18. Term and termination
These Terms remain in effect for as long as you maintain an account on the Platform. Parkho may suspend or terminate any User’s access to the Platform, with or without notice, for breach of these Terms, suspected fraud, or non-payment of fees. Users may terminate their account at any time by written notice to Parkho. Sections 7, 8 (for fees accrued prior to termination), 9, 10, 11, 12, 16, 17, and 19 survive termination.
19. Dispute resolution and arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including its formation, interpretation, breach, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties within thirty (30) days of written notice of the dispute.
If not resolved through negotiation, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties, or, failing agreement within thirty (30) days, in accordance with the provisions of the Act. The seat and venue of arbitration shall be Lucknow, Uttar Pradesh, India, and the language of arbitration shall be English. The arbitral award shall be final and binding on the parties.
20. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to Section 19, the courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction over any matters not subject to arbitration, including applications for interim relief.
21. Amendments to these terms
Parkho may modify these Terms from time to time, particularly given the Platform’s early access / beta status. Material changes will be notified to Users by email or through an in-Platform notice at least seven (7) days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

23. Miscellaneous
23.1 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
23.2 Entire agreement
These Terms, together with the Privacy Policy and any Role- or Recruiter-specific written agreements, constitute the entire agreement between the parties regarding use of the Platform, superseding any prior agreements.
23.3 Waiver
No failure or delay by Parkho in exercising any right under these Terms shall operate as a waiver of that right.
23.4 Assignment
Users may not assign or transfer their rights or obligations under these Terms without Parkho’s prior written consent. Parkho may assign these Terms in connection with a merger, acquisition, or sale of assets.
23.5 Force majeure
Parkho shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, internet or infrastructure outages, or governmental action.
